Event Registration Fees Processing by Customer
For annual customers or customers that meet Company’s requirements, if you wish to process credit card payments relating to the GruupMeet Platform, you must first establish your own merchant bank account(s) or payment processor(s) (contact us to discuss questions). GruupMeet’s New Booking Service and Subscription for tours and dine-arounds includes setup and integration with a single API Merchant Solution for Multiple Payment Gateway Processing abilities. GruupMeet cannot and does not guarantee that the merchant account or payment processor will be compatible with GruupMeet’s Software (please contact us to discuss).
You are responsible for:
Any refunds or credits must be independently arranged between you and your registrants or your clients' registrants. For security purposes, funds collected will not be held by GruupMeet at any point in this process. All funds will pass from registrant to customer without ever being deposited in accounts controlled by GruupMeet.
Customer must ensure that any refund policy is clearly stated both on the event website and within the registration form. Customer shall indemnify and hold harmless GruupMeet, its directors, officers, employees, agents and affiliates from and against all claims, losses, liabilities, damages, and expenses, including reasonable attorneys' fees, (collectively "Claims") to the extent that any such Claim is caused by or arises out of:

You are responsible for:
- Testing the connectivity of your Merchant Account or Payment Processor (including sandbox, authorization, settlement, and refund) prior to processing credit card payments at your event; and
- All fees and expenses generated in your Merchant Bank Account or Payment Processor.

- Any failure of Customer to comply with any law, regulation or card association rules applicable to the Services;
- Any dispute between (i) Customer and any event registrant, bank or card issuer, or (ii) between any card issuer and any event registrant, including, without limitation, any dispute regarding the goods and services purchased with the Event Registration Fees or the payment of any amounts owed or alleged to be owed by one or more such persons to any other such persons.

Website Subscription Fee
The subscription fee for the GruupMeet Website online store or booking add-on software product is optional. Current and/or existing Annual or Enterprise customers may sign-up for this additional product in a subsequent Order Form (the “Order Form”). The subscription fee for the add-on Website product will remain fixed during the Subscription Term and is based on an unlimited number of usage or amount of participants on an annual basis.

For details on renewal pricing (collectively, “Fees”), recurring billing, warranty and disclaimer or product disclosures, see GruupMeet’s Terms of Use. Additionally, customer agrees to comply with GruupMeet’s Booking Terms (“Booking Terms”) regarding refund policy event website and registration form requirements and indemnification of GruupMeet, its directors, officers, employees, agents, and affiliates, when applicable.

- Subscription Downgrades: The Website Subscription is for the Initial Service Term as specified in Order Form, Invoice, Payment or Agreement and will be automatically renewed for additional periods of the same duration as Initial Service Term (collectively, “Term”) unless either party requests termination at least thirty (30) days prior to the end of the then-current term.
- Software Modifications: GruupMeet may make modifications to its software, including the Website add-on, or make changes to features that impact the add-on product that materially reduce the functionality provided to you during the Subscription Term.

Domain Name Services
Some of the Enterprise/Annual Plans (“Fees”) offered by GruupMeet include domain services. When you choose to register or renew an existing domain name through the domain services, GruupMeet will only act as the agent between you and the registrar. The domain services are considered Third-party Services, and your use of the domain services are subject to the registrar’s terms and conditions. The current registrar for the domain services is Namecheap, and when you use the domain services you will be subject to the Namecheap terms and conditions located here. We reserve the right to use another registrar at any time.
Additionally, GruupMeet may offer a free 1-year domain with a purchase of an Enterprise/Annual plan(s). The domain is yours to keep if you renew the registration and pay the relevant fees. You must also provide accurate information to GruupMeet for registration of the domain, and you acknowledge, stipulate, and agree that the intellectual property rights of others are not violated when choosing your domain name. The domain name services will automatically renew prior to the end of the then-current term in accordance with GruupMeet’s Terms (the “Terms”).
Furthermore, if GruupMeet is made a party to any legal action related to one of your domain names, you agree to be responsible for all of our costs and legal fees and to indemnify and hold GruupMeet, its directors, officers, employees, agents, and affiliates harmless from any action.

Email and Texting Add-on Options
Email and Texting Add-on Options
- The scope of the custom email notification design add-on is for “simple responsive email design updates and/or edits.” Some examples are updates to email theme coloring, fonts, HTML table layouts and/or brand materials such as a logo or image. Additionally, the custom notification design add-on is not intended for the creation of new and/or additional email notifications – please contact us for assistance with estimates or quotes for new email notification design inquiries.
- GruupMeet will not have the best information and knowledge of your needs to confidently provide estimated timeframes until (a) we have received the initial payment and details from you about the “scope of work,” (b) we have responded via email to arrange an initial consultation call/virtual meeting upon receipt of the initial payment and details, (c) received further required analysis and investigation feedback from GruupMeet’s development team, and (d) provided an updated timeframe following steps (a), (b), and (c). Based on this process, the additional rush fee for completing the feature ASAP is typically 2-3 times faster than usual. Moreover, GruupMeet’s 30-day Money-back Guarantee policy will apply if we are unable to meet your needs thoroughly and successfully. (See terms for more info).
- The custom automatic text message service includes up to 30 minutes of consultation and one (1) hour for development and testing with your team related to the implementation of an additional custom automatic text message within your GruupMeet platform and subscription. Some example custom automatic text messages include an automated message and link to a survey or form, reminder messages for an event, tour or activity, or a confirmation response. The service includes working with you to optimize the best message that will provide relevant and timely information while considering character limits involved with text messages and best practices to execute the desired objective(s).
- Pre-set or automatic text reply service includes up to 30 minutes of consultation and one (1) hour for development and testing with your team to design the logic and response system of the automatic text communication response. This custom add-on option is an ideal solution for teams seeking to enhance the level of service and personalized approach for managing each text response for large groups. If you seek increased automation to reduce repetitive replies at scale, this add-on is fitting.
